Welcome to Virally ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Virally platform, including our website at joinvirally.com, mobile applications, and all related services (collectively, the "Platform").

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. About Virally

Virally is a creator-marketing platform that connects brands with authentic content creators. We facilitate the discovery, collaboration, and execution of marketing campaigns between brands and creators.

2. Eligibility

  • You must be at least 18 years old to use the Platform.
  • You must provide accurate, complete, and current information during registration.
  • Access to the Platform is currently available through our Early Access Program and is subject to approval by our team.

3. Account Registration

  • You may register as either a Brand or a Creator.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws.
  • Misrepresent your identity, affiliation, or follower/engagement metrics.
  • Upload or share content that is defamatory, obscene, fraudulent, or infringes on the rights of others.
  • Attempt to gain unauthorized access to the Platform or other users' accounts.
  • Use bots, scrapers, or other automated tools to access the Platform without our written permission.
  • Interfere with or disrupt the integrity or performance of the Platform.

5. Campaigns & Collaboration

  • Brands may create campaigns and invite or accept creators to participate.
  • Creators may apply to or be matched with campaigns based on their profile and audience.
  • All campaign terms, deliverables, and compensation are agreed upon between the brand and creator through the Platform.
  • Virally may facilitate payments between brands and creators but is not a party to the agreement between them unless expressly stated.

6. Payments & Wallet

  • Creators may earn compensation through campaigns, which is tracked in their Virally wallet.
  • Payouts are subject to our payment schedule and minimum thresholds.
  • You are solely responsible for any taxes arising from payments received through the Platform.
  • We reserve the right to withhold payments in cases of suspected fraud or Terms violations.

7. Intellectual Property

  • You retain ownership of the content you create and upload to the Platform.
  • By uploading content, you grant Virally a non-exclusive, worldwide, royalty-free license to display and distribute that content as needed to operate the Platform and facilitate campaigns.
  • The Virally name, logo, and branding are our trademarks. You may not use them without our prior written consent.

8. Content Moderation

We reserve the right to review, remove, or restrict any content or account that violates these Terms or is otherwise objectionable, at our sole discretion.

9. Termination

  • You may delete your account at any time by contacting us.
  • We may suspend or terminate your account if you violate these Terms or for any other reason at our discretion, with or without notice.
  • Upon termination, your right to use the Platform ceases immediately. Any pending payments may be forfeited in cases of Terms violations.

10. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Platform will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the maximum extent permitted by law, Virally shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

12. Indemnification

You agree to indemnify and hold harmless Virally and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
